The US federal government has completed a comprehensive real estate purchase in Southern California: a complex of three immigration detention facilities was acquired from the GEO Group for US$950 million. The facilities, used by U.S. Immigration and Customs Enforcement (ICE), are all located in Adelanto, San Bernardino County, and comprise a total of 2,644 beds.
The Boca Raton, Florida-based GEO Group sold two ICE Processing Centres with 1,280 and 660 beds respectively, as well as the Desert View Annex with 704 beds. The buyer is the Department of Homeland Security, which will now directly manage these capacities. This move is part of a broader expansion of the DHS's and ICE's real estate operations.
Financial Implications for the GEO Group
The GEO Group expects net proceeds of approximately US$705 million from this transaction, after deducting taxes, transaction fees, and other expenses. The company intends to use the proceeds, along with operating cash flow, to reduce debt, repurchase shares, and for general corporate purposes. Concurrently, the Board of Directors has increased the authorisation for GEO's share repurchase programme by US$750 million to a total of US$1.25 billion; this authorisation is valid until the end of 2029.
Despite the sale of the properties, the GEO Group will continue to provide support services at all three facilities. The existing contract with ICE currently runs until December 2029 and includes a five-year extension option until December 2034. The GEO Group is also in discussions regarding the sale of additional company-owned facilities to ICE, where GEO would also continue to manage the properties under long-term contracts.
Strategic Expansion by the US Government
This transaction underscores the growing real estate presence of the Department of Homeland Security and ICE. Commercial Observer previously reported earlier in the year on the agencies' negotiations regarding new office space, as well as the acquisition and leasing of large detention facilities. The GEO Group owns or provides services for 97 facilities with approximately 76,000 beds worldwide.
