The Management Board of DEFAMA Deutsche Fachmarkt AG has resolved to execute a public share buyback programme. On this basis, the company plans to acquire treasury shares from its shareholders. The acquisition is taking place within the scope of a voluntary public purchase offer addressed to all shareholders of the company.
Terms and volume of the purchase offer
The resolution provides for the repurchase of a volume of up to 100,000 of the company's own shares. This volume corresponds to approximately 2.1 per cent of the total share capital of DEFAMA Deutsche Fachmarkt AG. All shareholders are thus given the opportunity to tender their shares within the defined quotas.
A fixed offer price was established for the execution of the acquisition. DEFAMA Deutsche Fachmarkt AG is offering shareholders an amount of 18.00 Euro per share. The buyback will take place under these fixed financial parameters for all participating shareholders.
Legal authorisation and timeline
The legal basis for the acquisition of treasury shares is provided by the resolution of the Annual General Meeting of 5 July 2024. The supreme decision-making body had authorised the management pursuant to Section 71 (1) No. 8 of the German Stock Corporation Act (Aktiengesetz) to acquire the company's own shares. The Management Board is making use of this authorisation with the current resolution.
