The Vivonio Group has sold all its shares in fm Büromöbel GmbH to Orlando Capital. GÖRG, led by partner Dr. Jan-Henric M. Punte from Hamburg, provided legal advice to the seller. The vendor of the shares is Vivonio Furniture GmbH, represented by insolvency administrator Dr. Dietmar Haffa from Schultze & Braun.
This acquisition by Orlando Capital is intended to open up a long-term perspective for fm Büromöbel's future corporate development. It has been assured that business operations will continue unchanged at the Bösel site in Germany and the Ampflwang site in Austria. Existing customer and supplier relationships, as well as the workforce, will also be retained.
Background and company profile
For over 60 years, fm Büromöbel has been involved in the development, production, and sale of office furniture, as well as in the design of holistic furnishing concepts for modern work environments. The company employs more than 400 people in Germany and Austria and covers significant parts of the value chain with its service offering.
The sale took place against the backdrop of the insolvency of the parent company, Vivonio Furniture GmbH. The latter had filed for insolvency at the end of November 2024, then still under the name Vivonio Holding GmbH. fm Büromöbel was the highest-revenue company within the Vivonio Group. The company itself was not directly affected by the parent company's insolvency and was able to continue its business operations independently.

Dr. Jan-Henric M. Punte of GÖRG advised the Vivonio Group throughout the entire transaction process. In addition to GÖRG and Schultze & Braun as insolvency administrators, other parties involved in the transaction included:
- —IMAP M&A Consultants AG
- —Troesser & Company
- —Willkie Farr & Gallagher LLP as advisors to the financiers
The completion of the transaction is subject to the necessary antitrust clearance being granted.
