Readcrest Capital AG has acquired an 80 per cent majority stake in DEVARIS SE, based in Frankfurt am Main. The transaction has already been completed. As part of this acquisition, DEVARIS SE, a formerly operationally inactive shell company, will be strategically realigned and will henceforth operate as RC Industrieimmobilien SE. The company's shares are tradable on the open market segments of the Düsseldorf and Stuttgart stock exchanges.
With this investment, Readcrest Capital AG expands its real estate business by a third segment. The newly established RC Industrieimmobilien SE will be built as a specialised platform for small and medium-sized commercial, production and logistics properties, known as light industrial properties, in Germany. Corporate real estate accounts for almost a quarter of the German commercial real estate market. This market is characterised by its fragmentation, offering potential for aggregation with high tenant retention and risk diversification.
Strategic Alignment and Personnel
The existing over-the-counter listing of RC Industrieimmobilien SE provides the framework for governance, financing, and transparent capital market communication. In the medium term, an uplisting to a higher market segment is planned once the portfolio reaches an appropriate size. For the development of the real estate portfolio, a vetted acquisition pipeline of over ten properties nationwide already exists, comprising a lettable area of approximately 180,000 square metres and annualised rental income of over 10 million EUR. The first acquisitions are to be realised in the coming months.
Corresponding resolutions for the reorientation were passed at the Annual General Meeting of the future RC Industrieimmobilien SE on 27 July 2026. Upon their conclusion, personnel changes in the company's corporate bodies also became effective. Rolf Elgeti, Non-Executive Chairman, and Dr. Marcus Kiefer, Non-Executive Director, assume positions on the Administrative Board of RC Industrieimmobilien SE. Both remain members of the Management Board of Readcrest Capital AG to ensure strategic and financial linkage. Operational management rests with Sonja Petersen as Managing Director (CEO), who is responsible for portfolio development, acquisitions, and asset management. All necessary functions will be built up internally.
Rolf Elgeti, CEO of Readcrest Capital AG, commented on the acquisition by stating that the company is investing in one of the most attractive and at the same time most fragmented sub-markets of the German real estate market. The new listed subsidiary provides the appropriate framework for disciplined, scalable portfolio development and complements the existing cash flows from the healthcare business and residential construction projects in Germany with an additional pillar. Mr Elgeti further emphasised that Ms Petersen's team has repeatedly proven its ability to create significant value in this sub-market, which will now also be made accessible to shareholders.
