Energy and property service provider ista SE has completed the acquisition of Homenergy GmbH. Homenergy specialises in the planning and installation of heat pumps, photovoltaic systems, and complementary energy solutions. This acquisition represents a strategic move for ista SE to consistently expand its service portfolio in the integrated energy solutions sector for building decarbonisation. The company thus continues its platform strategy in climate-friendly building technology.

Over the past four years, Homenergy GmbH has sold and installed approximately 4,500 heat pump and photovoltaic systems. The range of services offered by Homenergy includes battery storage, wall boxes, home energy management systems, as well as service and maintenance. This expansion allows ista to move closer to its goal of becoming a full-service provider for integrated energy solutions in the building sector. Homenergy is also characterised by a fully digitalised customer journey and covers essential aspects of a full-service provider's offerings, from sales and technical planning to project management, installation, and service.

Market conditions and strategic importance

The acquisition takes place in a dynamic market environment and holds further growth potential. The German Heating Industry Association recorded sales of 194,500 heat pumps in the first half of 2026, accounting for more than half of the approximately 352,000 heat generators sold in total. This represents an increase of 19 percent compared to the same period last year. Against this background, the acquisition is of strategic importance for ista, as it complements its existing energy services business with an additional pillar in the growing market for decentralised building energy.

Legal advice on the transaction

ista SE received comprehensive legal advice for this transaction from Luther Rechtsanwaltsgesellschaft mbH. A team led by partners Dr. Björn Simon and Dr. Johannes Becker assisted ista SE from structuring to completion of the acquisition. The Corporate/M&A team was complemented by Luther specialists from the areas of labour law, energy law, commercial law, and IP/IT. In this context, ista once again relied on the expertise of this team, which had previously advised the company on earlier acquisitions, including the takeover of Chargemaker GmbH and the acquisition of SGW Metering.

He highlighted that the advice was characterised by a precise knowledge of the operational issues in the energy sector, and the company was supported in structuring the transaction with several founders and financial investors on the seller side. Dr. Björn Simon added that the transaction demonstrates how closely legal transaction advice and operational issues are now intertwined in the energy sector, and that a deep understanding of the business model and regulatory frameworks is essential for successful consultation.
