For inquiries, contact the distributor directly. /CNW/ – Artis Real Estate Investment Trust (TSX: AX.UN) filed its management information circular and meeting materials for the special meeting of Artis common unit holders, Series E preferred unit holders, and Series I preferred unit holders scheduled for Thursday, 11 Dec 2025. Materials are posted on SEDAR+ (www.sedarplus.ca) and on the REIT’s website (www.artisreit.com). The Board of Trustees, except the Interested Trustee, recommends that: (i) common unit holders approve the Arrangement; (ii) Series E holders approve the Series E Resolution; (iii) Series I holders approve the Series I Resolution; and (iv) common unit holders approve the Equity Incentive Plan Resolution, as detailed in the Meeting Materials.
The Arrangement involves a statutory plan of arrangement with RFA Capital Holdings Inc. (RFA). RFA will rename itself RFA Financial Inc. and become the parent company; Artis, RFA Bank of Canada, RFA Mortgage Corporation, and TM Investment Management Corp. will become its subsidiaries. Each Artis common unit will be exchanged for one common share of RFA Financial, giving Artis common holders 68 % of RFA Financial’s common shares. The meeting will also seek approval of the Resulting Issuer’s equity incentive plan.
Series E and Series I holders will separately vote to approve the Arrangement, whereby RFA will acquire all outstanding Artis preferred units in exchange for Resulting Issuer Series E and Series I preferred shares. The Arrangement is not contingent on preferred‑unit approval; if either series does not approve, those preferred units will remain outstanding as Artis preferred units and may continue to trade on the TSX, subject to mutual agreement between Artis and RFA to allow only approved series to be exchanged.
