The ordinary Annual General Meeting of VIB Vermögen AG, conducted virtually, approved all resolution proposals from the Supervisory Board and Management Board with significant majorities. Overall, over 85 per cent of the company's voting share capital was represented. Two resolution proposals submitted by a shareholder, namely the assertion of claims for damages in accordance with Section 147 (1) German Stock Corporation Act and the appointment of a special representative pursuant to Section 147 (2) sentence 1 German Stock Corporation Act, were rejected by the Annual General Meeting with a large majority.

Of particular relevance was VIB Vermögen AG's announcement regarding the domination and profit and loss transfer agreement. This agreement, existing between DIC Real Estate Investment GmbH & Co. KGaA and VIB Vermögen AG, and resolved at the extraordinary general meeting of VIB on 12 February 2026, became effective on 27 August 2026 through its entry in the commercial register of VIB Vermögen AG. With this entry, an important period for shareholders begins.

Following the effectiveness of the domination and profit and loss transfer agreement, shareholders of VIB Vermögen AG now have the opportunity to accept the offer for the share exchange within a period of two months. This declaration must be submitted to the central settlement agent responsible for processing. The deadline for accepting the compensation offer ends on 27 October 2026, or at the end of the day two months after the announcement of the agreement's entry in the commercial register.
