BayWa AG has sold all shares in BayWa Mobility Charging GmbH to EVN Energieservices GmbH, a subsidiary of Austrian EVN AG. This step marks BayWa's complete divestment from its charging business. The transaction included a preceding and complex carve-out, during which the business in question was transferred from BayWa Mobility Solutions GmbH to the newly established BayWa Mobility Charging GmbH.

BayWa AG received legal and tax advice throughout the entire process from Luther Rechtsanwaltsgesellschaft mbH. An interdisciplinary team, led by Professor Dr Florian Schulz and Dr Michael Bormann, supported the structuring and implementation of the sale and the associated carve-out of the charging business. Their expertise covered all relevant aspects of the transaction.

BayWa's Strategic Realignment

The sale of the charging business is part of an ongoing restructuring within the BayWa Group. Through this measure, BayWa AG is pursuing a strategic realignment in the mobility sector. The company intends to focus on service and sales-oriented asset-light business models in the future. This focus enables BayWa to concentrate its resources on core competencies and further optimise the efficiency of its operational units.

The carve-out of the charging business was carefully planned and implemented as an integral part of the transaction. This ensured a smooth transfer of business operations to the new structure, taking into account all legal and tax implications. BayWa Mobility Charging GmbH served as a consolidation point for activities previously housed within BayWa Mobility Solutions GmbH.

Transaction Details

The parties involved have agreed not to disclose the purchase price of the shares. This transaction underscores the dynamic nature of the energy sector and the adaptability of large corporate groups to changing market conditions and strategic priorities. With this acquisition, EVN Energieservices GmbH expands its portfolio and strengthens its position in the market for charging infrastructure.
