BRANICKS Group AG has announced that the lock-up agreements signed on 30 July 2026 have become fully effective. These agreements were concluded with a group of bond creditors as well as holders of registered promissory notes and Schuldschein loans. The confirmation of effectiveness occurred the previous day at 17:34 CET.
Various conditions had to be met for the agreements to become effective. These included, among other things, the participation of a significant number of creditors and personnel changes within the company. The fulfilment of these prerequisites is crucial for the stability and further development of BRANICKS Group AG.
Full Fulfilment of Effectiveness Conditions
All conditions stipulated in the lock-up agreements have been fulfilled. A key point concerns the broad acceptance of the agreements by the creditors. More than 50% of the creditors of the total outstanding nominal amount of the EUR 400 million bond, due on 22 September 2026 (ISIN: XS2388910270), have acceded to the agreements. In addition, creditors of Schuldschein loans and registered promissory notes, representing 100% of the total outstanding nominal amount of these instruments, have signed the agreements. This comprehensive participation signals broad support for the proposed restructuring concept.
- —More than 50% of the bond creditors and 100% of the creditors of Schuldschein loans and registered promissory notes have acceded to the lock-up agreements.
- —Mr Josef Schultheis has been appointed as Chief Restructuring Officer to the Management Board of Branicks.
- —The Chairman of the Supervisory Board resigned from his position as a member of the Supervisory Board of Branicks with immediate effect.
With the full fulfilment of these conditions, BRANICKS Group AG can now implement the agreed refinancing and restructuring concept. This includes the invitation to bondholders for an initial vote without a meeting in accordance with Section 18 of the German Bond Act (SchVG), which was issued simultaneously with the notification of effectiveness. The company is committed to continuously informing capital markets about the progress of the restructuring in accordance with legal requirements.
The effectiveness of the lock-up agreements represents a significant step towards stabilising the company's finances and securing business operations long-term.
