EQT Real Estate, the subsidiary of Swedish private equity firm EQT AB specialising in commercial real estate, announced on Thursday the acquisition of Stockbridge. Stockbridge is a US-based real estate investment firm managing $16.5 billion in assets. The purchase price is $375 million.
The agreement includes an option for performance-based earn-out payments totalling $175 million, which can be paid out over the next four years. Through this transaction, EQT expands its portfolio to include industrial properties and alternative assets such as outdoor industrial storage and manufactured housing. Stockbridge's leadership and investment teams are largely expected to remain in place.
Independent Fund Strategies and Expanded Market Presence
Stockbridge's real estate fund strategies – particularly its open-ended core products – will continue to operate independently within EQT Real Estate's expanded investment network. Under the terms of the agreement, EQT Real Estate will assume full control of Stockbridge and all General Partner entities within the company's numerous real estate investment funds. Furthermore, EQT will invest 35 per cent of the carried interest in future funds launched by Stockbridge.
Per Franzén, CEO and Managing Partner of EQT AB, described the transaction as a significant next step in the development of the company's real estate investment business. He emphasised that the newly combined entity would tap into new sectors through Stockbridge's diversified portfolio in the US alternatives space. Franzén added that Stockbridge had built an impressive track record over more than two decades and was an excellent fit for EQT Real Estate. Both sides would learn from and develop each other, while also contributing to the overall EQT platform.
Synergies and Global Reach
Stockbridge was founded in 2002 and currently employs 185 people across six US offices. EQT Real Estate itself was only established in 2021, following EQT AB's acquisition of Exeter Property Group for $1.9 billion, but has already doubled in size within the last five years.
Terry Fancher, CEO of Stockbridge, stated that the merger enables his company to continue offering differentiated strategies through the same teams and investment philosophies that have underpinned its success to date. Additionally, it benefits from integration into EQT AB's global investment network. Fancher added that EQT has built a leading global alternative investments platform, and he believes their investment approach, client focus, and people-centric culture align closely with Stockbridge's values and long-term vision. The transaction is expected to close in the first quarter of 2027.
