Global investment firm KKR and Realty Income Corporation, a leading real estate partner for companies operating worldwide, have announced the formation of a new joint venture. This vehicle, operating on a euro basis, will acquire and manage an existing portfolio of European net lease properties from Realty Income's holdings. The portfolio is characterised by broad diversification across various sectors and tenant types.

The strategic alliance combines the expertise of both companies in the European real estate market. The geographical spread of the portfolio extends across several European countries, including Spain, Ireland, Poland, and the Netherlands. This distribution underpins the intention to establish a robust and market-specific real estate commitment.

Joint Venture Structure and Participation

As part of this transaction, funds managed by KKR plan an initial investment of EUR 528 million. This investment will secure KKR a 49 per cent stake in the newly formed joint venture. Realty Income Corporation will hold a majority stake of 51 per cent and will continue to lead the joint venture's operations through its established European operating platform. This ensures a consistent management strategy and access to existing infrastructures.

Latham & Watkins LLP advised KKR on this transaction, underscoring the complex structure and international implications of the undertaking. The successful completion of the transaction is expected subject to the fulfilment of customary closing conditions. The targeted date for completion has been set as 30 September 2026.

This joint venture represents a significant development in the European net lease sector. It highlights the continued interest of institutional investors in stable real estate assets, characterised by long-term leases and diversified tenant structures.
