MOMA GmbH, an investment vehicle of the entrepreneurial family Dr. Thomas Muhr, has taken over the full business shares in HCR Holz Centrum Regensburg GmbH (HCR). The seller of the shares is Outdoor Life Group Holding B.V. (Outdoor Life Group). This transaction underlines the strategic expansion of MOMA GmbH's portfolio in a relevant market segment. The acquisition followed a comprehensive review and negotiation process.
MOMA GmbH was advised throughout the entire transaction process by an interdisciplinary team from Grant Thornton in Germany. The advice included services from the Advisory and Legal business units. This comprehensive support was crucial for structuring and successfully concluding the transaction.
Advisory and Process
The Grant Thornton advisory team was led by several partners. Dr. Mathias Reif and Boris Kröpsky were responsible for the legal aspects, while Harald Weiß and Dr. Stephane Müller were responsible for Financial Advisory and Commercial Advisory respectively. Their combined expertise enabled coherent support for MOMA GmbH through all phases of the acquisition.
The process included the initial negotiation phases, detailed due diligence, and the final contract negotiations, which ultimately led to the signing and closing of the transaction. The collaboration ensured a thorough review of all relevant parameters and compliance with legal frameworks. This is essential in complex corporate acquisitions to minimise risks and secure the value of the investment.
Hans-Werner Bieler, the head of the Family Office of the entrepreneurial family Dr. Thomas Muhr, commented on the support from Grant Thornton. He noted that the high demands during the complex and challenging negotiation phase were successfully concluded together with Grant Thornton's interdisciplinary team. This underscores the necessity of expert support for such corporate transactions and the importance of integrated advisory services.
