ABN AMRO Bank has successfully completed the acquisition of NIBC Bank. The transaction, which was announced on 12 November 2025, was finalised after receiving all necessary regulatory approvals. Strategic Expansion and Governance

Marguerite Bérard, CEO of ABN AMRO, welcomed NIBC's employees as new colleagues and highlighted the shared growth perspective. She stressed that clients would benefit from the size, stability, and trustworthiness of a larger group, which supports their ambitions for the coming years. The goal is to create long-term value for clients, colleagues, and shareholders.

As a result of the share transfer, changes are occurring in NIBC's corporate governance. Qasim Abbas and Mathias Favetto have resigned from the Supervisory Board, concurrent with the end of the terms of Angelien Kemna and Susi Zijderveld. Choy van der Hooft-Cheong, Ferdinand Vaandrager, and Gitte van Haaren-Isbouts have been newly appointed to the Supervisory Board. The Supervisory Board now consists of Dick Sluimers as Chairman, Leni Boeren as Deputy Chairman, as well as Jeroen Kremers, Joop Wijn, Choy van der Hooft-Cheong, Ferdinand Vaandrager, and Gitte van Haaren-Isbouts. The NIBC Management Board remains unchanged.

Dick Sluimers, Chairman of the Supervisory Board, emphasised that NIBC is entering a new phase as part of ABN AMRO. He thanked Blackstone and the outgoing Supervisory Board members for their commitment. Continuity for clients and employees remains the top priority. The next phase of integration includes the preparation of a legal merger and subsequent operational integration. This legal merger requires approval from the relevant supervisory authorities and a statement from the works council. By combining their strengths, ABN AMRO and NIBC aim to strengthen both organisations, with the goal of offering enhanced value to clients.
