The Management Board of BENO Holding AG recently resolved to prepare a cash capital increase. This step, which has the approval of the Supervisory Board, is based on a resolution passed by the Annual General Meeting on 07 October 2025 and the provisions of Section 6 Paragraph 6 of the Articles of Association (Authorised Capital 2025/I). The aim of the measure is to issue up to 674,188 new bearer shares.
The subscription price for the new shares has been set at EUR 6.50 per share. Existing shareholders will be granted statutory subscription rights. This ensures that they have the option to maintain their proportionate stake in the company according to their current holding.
Use of Capital and Timetable
Any unsubscribed shares from the capital increase will also be offered for acquisition to a selected group of investors at the fixed subscription price. This allows for a broader placement of the shares and ensures the full utilisation of the planned capital.
The capital measure is scheduled for implementation in the fourth quarter of 2026. The targeted funds from this cash capital increase, which could reach a volume of up to EUR 4.4 million, are primarily earmarked for the further development and expansion of BENO Holding AG's real estate portfolio. This underscores the company's strategic focus on growth within the real estate segment.
Strategic Implications
The planned capital increase reflects BENO Holding AG's efforts to strengthen its market position through the acquisition of additional real estate. The provision of fresh capital is a crucial factor for implementing such growth strategies in a competitive market environment. This financing strategy enables the company to respond flexibly to attractive acquisition opportunities and to progressively increase the value of its portfolio.
