Kidde Global Solutions (KGS) has completed the sale of its European portable fire extinguisher business, known under the GLORIA brand, to the Italian fire protection group ANAF Fire Protection S.p.A. This transaction, finalised in the third quarter of 2026, primarily includes the GLORIA brand and its associated production facilities in Poland.
For the ANAF Group, this acquisition represents a strategic move to strengthen its capabilities and expertise. Simultaneously, it expands the company's presence in key European markets. The acquisition integrates the GLORIA business, which is responsible for the production and distribution of portable fire extinguishers at two main sites in Ropczyce, Poland, and Wadersloh, Germany.
Kidde Global Solutions was comprehensively advised on this transaction by an interdisciplinary team from Grant Thornton in Germany. The lead advisors were Dr. Achim Kestler (Transaction Tax) and Alexander Griesmeier (Transaction Advisory Services). The advice was provided in close cooperation with Grant Thornton teams from the Netherlands, Poland, and the USA to address the cross-border dimension of the transaction.
The consulting services provided were diverse and included the development of a carve-out concept. Furthermore, the services encompassed support with Transitional Service Agreements, the preparation of Tax and Financial Fact Books, and the tax analysis of the cross-border carve-out structure in Poland. Additionally, advisory services were rendered for tax structuring and the supervision of the tax due diligence phase. Purchase agreement consulting was coordinated with Grant Thornton USA.
