Hanseatic Broking Center GmbH (HBC) has consolidated its Hamburg insurance brokerage activities as part of its buy-and-build strategy. This step was taken with legal assistance from Luther Rechtsanwaltsgesellschaft mbH. The merger aims to strengthen market presence in Hamburg and to more closely integrate professional expertise and resources.
In the course of this restructuring, five established insurance brokerage companies and their respective subsidiaries are being combined within Robert Schüler Versicherungsmakler GmbH. This company will operate in future under the name Hanseatic Broking Center Versicherungsmakler GmbH. The companies involved include ScanBrokers Versicherungsmakler GmbH, Total Consulting Versicherungsmakler GmbH, Barg & Büttner GmbH, ALBIS Assekuranzmakler GmbH, and VVDG Verlags- und Industrieversicherungsdienste GmbH.
Advisory and Process Management
The transaction was managed by a team from the Luther law firm, led by Dr. Joachim Heinemann, Partner for M&A and PE. Luther was responsible for the legal advice regarding the merger and supported HBC in implementing the corporate law steps. The Luther team controlled the transaction process, which minimised the personnel involvement on HBC's side.
Mr Johannes Schmidt, COO and Managing Director of the HBC Group, commented on the complexity of the transaction, which involved approximately 20 transformation measures and required precise legal structuring and close coordination. He expressed appreciation for Luther's independent and efficient process management, which provided significant relief in day-to-day operations. He highlighted their professional expertise and understanding of the HBC Group's strategic objectives, which were crucial to the successful completion within the tight schedule.
Strategic Objectives and Customer Benefits
The goal of the merger is to combine the existing customer relationships and the long-standing expertise of the individual brokerage houses with the resources and specialisation opportunities of a larger entity. For customers, this means continued support from familiar contacts as well as access to an expanded range of advisory services and additional specialist expertise.
- —More efficient organisation of digital processes
- —Strengthening the client's position with insurers
- —Expansion of collaboration across various insurance sectors and industries
- —Adaptation to increasing regulatory requirements and more complex risk situations
This strategic consolidation enables HBC to respond to the growing demands for specialised insurance advice and to further optimise service quality.
