Deutsche Finance Group, comprising Deutsche Finance America LLC and DF Deutsche Finance Holding AG, has filed a lawsuit against Bayerische Versorgungskammer (BVK) before the Superior Court of the US state of Delaware. The BVK is Germany's largest public pension group.

Deutsche Finance Group asserts that the BVK attributed responsibility to it for losses in the US real estate portfolio, which, according to the complaint, were co-caused by the BVK's own decisions and omissions.

Background of the Complaint

The BVK manages pension capital for approximately 2.8 million insured individuals in Germany and, according to the complaint, has invested almost 2 billion US dollars in US real estate projects in California, Illinois, Florida and New York over more than a decade. Deutsche Finance Group was involved as an asset manager in this context. The complaint states that the BVK regularly exceeded the role of a passive institutional investor. This included the selection of properties, approval of investments, negotiation of fees, and the management of leasing, financing, and pricing decisions down to the level of individual properties. The BVK then allegedly instructed Deutsche Finance Group and independent fund managers to implement the decisions it had made.

As the US commercial real estate markets weakened from 2020 onwards, according to the complaint, necessary budgets, financing, and lease agreements depended on BVK approvals or capital provisions due to the decision-making structures practised. Necessary decisions were repeatedly withheld or delayed. The lawsuit estimates the potential total losses across BVK participations at up to approximately 853 million Euro (988 million US dollars) and asserts that the BVK's decisions and omissions significantly contributed to these losses.

Scope and Demands

Deutsche Finance Group accuses the BVK of presenting an inaccurate picture to influential German media, German supervisory authorities, the Bavarian Parliament, and its own insured individuals, rather than accepting its own responsibility. Accordingly, Deutsche Finance Group, and not the BVK, was allegedly responsible for the selection of the investments in question and the resulting losses.

The complaint further describes how the BVK allegedly leveraged its economic position against Deutsche Finance Group. In December 2025, the BVK demanded that Deutsche Finance Group relinquish its management role at the Transamerica Pyramid in San Francisco with immediate effect and without compensation. Subsequently, according to the complaint, the BVK refused to pay over 31 million US dollars in contractually guaranteed fees, while a co-manager of the same project was paid over 45 million US dollars in comparable fees based on an identical contract clause.

Deutsche Finance Group is claiming compensatory damages, the amount of which is to be determined in a jury trial. The plaintiffs are represented in these proceedings by the US law firm Quinn Emanuel Urquhart & Sullivan, LLP.
