ORONTO, Dec 06, 2024 -- Middlefield Global Real Asset Fund ("Real Estate Split") (TSX: RS, TSX: RS.PR.A) has successfully completed its merger with Middlefield Global Real Asset Fund ("Real Asset") (TSX: RA.UN), resulting in Real Estate Split being the continuing fund. Each Real Asset unit was automatically exchanged for 0.36409573 units of Real Estate Split, comprised of one Preferred Share and one Class A Share.
Approximately 1,054,761 Preferred Shares and 1,054,761 Class A shares were issued as a result of the merger. Real Asset units were delisted from the TSX on December 5th, with no action required by unitholders to receive their new shares. The merger is considered a taxable event for investors, potentially resulting in capital losses or gains.
Middlefield Limited covered all costs associated with the merger. Former Real Asset unitholders wishing to participate in the voluntary Distribution Reinvestment Plan (DRIP) of Real Estate Split Class A shares must contact their advisor to enroll.
Real Estate Split Corp.'s investment objectives include providing non-cumulative monthly cash distributions and capital appreciation through exposure to its portfolio for holders of Class A shares, as well as fixed cumulative preferential quarterly cash distributions and a return of the original issue price upon maturity for Preferred Shareholders.
The fund focuses on traditional property types like industrial, multi-family, senior housing, and retail, which are expected to benefit from growing demand and constrained supply. It also invests in emerging property types such as data centres, U.S. cell towers, and life science labs, representing an increasing share of the real estate market.
