Alloheim Group, Germany's largest private provider of inpatient care, is facing a change of shareholders. Global private equity firm TA Associates is taking on the role of new anchor shareholder. The previous majority shareholder Nordic Capital, which has backed the corporate group since 2018, is selling its shares entirely as part of the transaction. Commercial law firm ARQIS advised on the corporate and regulatory structuring.
Completion of the change of ownership is subject to customary regulatory approvals from the relevant authorities. Closing of the transaction is currently scheduled for the first quarter of 2027. Through the realignment of the shareholder structure, Alloheim Group intends to continuously pursue its path of qualitative growth and further expand its market presence in the nationwide care sector.
Extensive location portfolio and strategic partner
Alloheim has been active in the German healthcare and care market since 1973, covering both inpatient and outpatient services. Nationwide, the portfolio today comprises more than 320 senior residences, 112 assisted living facilities and 36 outpatient care services. The company employs around 30,000 staff and has a total capacity of over 30,000 inpatient care beds as well as more than 4,500 assisted living units.
The future principal owner TA Associates is headquartered in Boston and has extensive experience with investments in the healthcare sector. Since its founding in 1968, the investment firm has invested in more than 560 companies, including in the core sectors of healthcare, technology, financial and business services. The firm employs more than 160 investment professionals and has raised a total of 65 billion US dollars in capital to date.
Additional acquisitions and real estate investments
Parallel to the entry of TA Associates, two significant add-on transactions were completed to expand the group. Alloheim acquired Integra Group with nine locations, while its operational real estate was simultaneously acquired by British real estate investment fund Elevation. In addition, the acquisition of ProCurand Group with more than 30 locations was completed.
Legal advice from ARQIS was led by partner Jörn-Christian Schulze, who has advised the care company since 2008. Healthcare regulatory matters were handled by Malte Griepenburg, who worked closely on regulatory affairs with Dirk Bode, head of Alloheim's legal department.
