The GEVITA Group, a long-established operator of nursing and retirement homes, has completed its succession planning through a complex transaction. The shareholders sold the operational business to the Argentum Group, a portfolio company of Lafayette Mittelstand Capital. In parallel, the existing properties were sold to Aedifica SA/NV, a real estate company specialising in healthcare properties in Europe, which is listed on the stock exchange and operates as a REIT.
This step secures the continued existence of the care and support facilities and simultaneously ensures the continuation of the specific care situation for residents at the various locations. In recent years, the GEVITA Group has continuously developed its companies and, in particular, the quality of care, establishing itself as a leading player in the region.
The overall transaction included both the transfer of operations and the separate sale of other assets from group companies to the purchasers. The sale of the operational properties to Aedifica SA/NV particularly concerns the Lörrach site. The company operates as a specialised real estate investor in the healthcare sector in Europe.
Shortly before this transaction, the GEVITA Group had already successfully completed the sale of a nursing and retirement home in Müllheim, which underscores its strategic realignment. GEVITA's core competencies focus on inpatient care, assisted living, as well as outpatient care, care hotels, and day care.
The GEVITA Group, headquartered in Lörrach with other operations in Müllheim, looks back on approximately 33 years of company history. During this time, the company has cared for around 300 residents and patients and currently employs about 270 staff. The continuous development and specialisation in the care sector characterises this history.
The shareholders of the GEVITA Group received comprehensive legal support throughout the entire sales phase from the commercial law firm Friedrich Graf von Westphalen & Partner. An interdisciplinary M&A team, led by Dr. Till Böttcher and Dr. Ron Fahlteich from the Freiburg office, provided extensive support to the sellers. Advice on non-profit law and tax matters was provided by ADJUVARIS Partnerschaft mbB, represented by Dr. Christoph Dorau M.A. The Argentum Group was advised by the law firm METIS Rechtsanwälte PartG mbB. FPS Rechtsanwaltsgesellschaft mbH & Co. KG acted as advisors for Aedifica SA/NV.
