The Indotek Group has successfully completed the acquisition of the remaining 53 per cent stake in Auchan Magyarország Kft. (ARHU, Auchan Hungary) from Auchan Retail International (ARI). With this transaction, Indotek increases its share in ARHU from 47 per cent to 100 per cent, thus becoming the sole owner of the company. Operational control over ARHU had already been fully with Indotek since the end of 2024 and will not change as a result of this latest announcement.

This full acquisition represents the next step in the strategic partnership between Indotek and ARI. ARHU will continue to operate under the Auchan brand and benefit from the extensive multinational retail network. Long-term contractual agreements secure access to the Auchan brand, ARI's centrally sourced product range, as well as own-brand products and participation in Auchan's purchasing cooperations. There will be no disruption for customers, employees, and partners due to the transaction.

Since Indotek took over management at the end of 2024, ARHU's operational performance has been significantly improved, and relationships with key suppliers have been strengthened. This includes the implementation of a long-term transformation strategy for the company. Building on these successes, ARHU has established its financing structure independently and secured loans from Erste, Raiffeisen, and UniCredit. These debt agreements replace the internal financing provided by ARI.

As the sole owner, the Indotek Group intends to intensify its commitment to local suppliers and reinvest in the company. The aim is to strengthen ARHU's market position and its role as a partner for Hungarian manufacturers. Furthermore, the company's offerings for customers in Hungary are to be further optimised. Dániel Jellinek, Chief Executive Officer of the Indotek Group, stated that the transition to full ownership was a logical step in the strategic partnership. He emphasised confidence in Auchan Hungary's business and the team, which has achieved operational progress over the past 18 months.

Guillaume Darrasse, Chief Executive Officer of Auchan Retail, confirmed that the Indotek Group has been a reliable partner over the past 18 months, ensuring continuity for all stakeholders of Auchan Hungary. He also highlighted that Indotek possesses a clear vision for further strengthening Auchan Hungary's market position. Business relations remain important for ARI. The long-term agreements regarding brand licensing, central procurement, and purchasing alliances will continue. It is expected that the company will continue to benefit from the Auchan network and generate added value.

Auchan Hungary continues its daily business operations uninterrupted during the change of ownership. Customers, employees, and partners benefit from continuity, complemented by operational improvements, strengthened supplier relationships, and a transformation strategy aimed at an expanded offering. With the formal conclusion of the transaction, ARHU will be able to solidify its partnership with local manufacturers and adapt its product ranges and services to the specific requirements of Hungarian consumers.
